Please read these terms and conditions (the "Terms") carefully as they contain the legal terms and conditions that you agree to when you use the Service (as defined below) provided to you by Digiphoto Entertainment Imaging (“DEI”) in cooperation with Resorts World Sentosa (“RWS”) through the website found at RWSmemories.com (the Photo Site). This Photo Site is separate and distinct from the www.rwsentosa.com website, which provides different services and products. Therefore, the use of the www.rwsentosa.com website is governed by different terms of use and privacy policies. Hence, please refer to the terms of use and privacy policy for www.rwsentosa.com website when using that site or to obtain information on visiting Resorts World Sentosa.

DEI and RWS reserve the right to amend these terms and conditions at any time without prior notice. Please note that the content and services available on this Photo Site are subject to these terms and conditions and other terms and conditions and policies which you may find throughout this Photo Site in connection with certain functionality or features, all of which are deemed a part of and included within these terms and conditions (collectively, “Terms & Conditions”). By accessing or using this Photo Site you are acknowledging that you have read, understood and agreed, without limitation or qualification, to be bound by these Terms & Conditions. As such, if you do not agree with any of the provisions in these Terms & Conditions please exit this Photo Site now.

1. Your Use of the Service

This Photo Site allows you to view, share and download digital images taken at Resorts World Sentosa (the “Service”).

Any other use of the content on this Photo Site, including but not limited to, the modification, reproduction, duplication, distribution, transmission, publication or uploading of, or the creation of derivative works from, any material, information or software obtained from this Photo Site is expressly prohibited without our express prior written consent. You may not make any part of this Photo Site available as part of another website, whether by hyperlink framing on the internet or otherwise unless you have been authorized to do so in writing by us. You may not use contact information provided on this Photo Site for unauthorized purposes, including marketing. You may not use any hardware or software intended to damage or interfere with the proper working of this Photo Site or to surreptitiously intercept any system, data or personal information from this Photo Site. You agree not to interrupt or attempt to interrupt the operation of this Photo Site in any way.

You agree to abide by all additional restrictions displayed on this Photo Site as it may be updated or modified from time to time. DEI and RWS reserve the right to refuse or cancel any person's registration for this Photo Site (if applicable), remove any person from this Photo Site or prohibit any person from using this Photo Site for any reason whatsoever. This Photo Site is controlled by DEI in Singapore. If you choose to access this Photo Site from locations outside of Singapore you do so at your own risk and you are responsible for compliance with any local laws.

DEI and RWS are under no obligation to post, forward, transmit, distribute or otherwise provide any material available on this Photo Site, including material you provide to DEI and RWS, and so DEI and RWS have an absolute right to remove any material from this Photo Site at our sole discretion at any time. DEI and RWS reserve the right, at the sole discretion of DEI and RWS, to limit or terminate your access to or use of this Photo Site at any time without notice. Termination of your access or use will not waive or affect any other right or relief to which DEI and RWS may be entitled at law or in equity.

In the access or use of this Photo Site you shall comply with these Terms & Conditions and the special warnings or instructions for access or use which may be posted on this Photo Site from time to time. You shall always act in accordance with the law, custom and in good faith. You shall not make any change or alteration to this Photo Site or any content that may appear on this Photo Site and shall not impair in any way the integrity or operation of this Photo Site.

Without limiting the generality of any other provision of these Terms & Conditions, if you fail to comply with or breach or are in default of any of your obligations set forth in these Terms & Conditions, you shall be liable for, and shall indemnify us, our directors, officers, employees and agents for any and all losses, liabilities, expenses, damages or costs, including reasonable attorneys' fees, arising from or in connection with such failure to comply, breach or default.

2. Accuracy, Completeness and Timeliness of the Information

Regardless of any information presented on the Photo Site, RWS and DEI reserve the right without prior notice to discontinue the Service, without incurring any obligations. The materials contained on this Photo Site may contain inaccuracies and typographical errors. RWS and DEI do not warrant the accuracy or completeness of the materials or the reliability of any advice, opinion, statement or other information displayed or distributed throughout the Photo Site. You acknowledge that any reliance on such opinion, advice, statement, memorandum or information shall be at your own risk.

3. Availability

DEI uses reasonable endeavors to ensure that the Service is available 24 hours a day, 7 days a week. However, there will be occasions when the Service will be interrupted for maintenance, upgrades and emergency repairs. Reasonable steps will be taken by DEI to minimize such disruption where it is within the reasonable control of DEI.You agree that RWS and DEI shall not be liable to you for any modification, suspension or discontinuance of the Service.

5. Trademarks

You are prohibited from using any of the information and content available on this Photo Site and its “look and feel”, including but not limited to trademarks, logos, service marks, text, graphics, design, downloads, interfaces, logos, button icons, images, audio clips, data compilations and software, and the compilation and organization thereof, which are protected by applicable laws (including, without limitation, laws governing copyright and trademarks).

6. Copyright

DEI is, unless otherwise stated, the owner of the software and technology embodied or used in this Photo Site. Also RWS, unless stated otherwise, is the owner of the content and any photographic material contained on this Photo Site. You may not publish, distribute, extract, re-utilize or reproduce part or all of any such content in any material form (including photocopying or storing it in any medium by electronic means) except as otherwise explicitly permitted in these Terms & Conditions. You may access, copy, download and print the material contained on this Photo Site for your personal and non-commercial use, provided you do not modify or delete any copyright, trademark or other proprietary notice that appears on the material you access, copy, download or print.

7. Intellectual Property Rights of Others

We respect the intellectual property rights of others and request that our visitors do the same. If you think your work has been copied in a manner that constitutes copyright infringement you may notify us using the "Write To Us" link.

The notification must include ALL of the following:

A. . A physical or electronic signature of the copyright owner or the person authorized to act on the owner’s behalf;

B. A description of the copyrighted work you claim has been infringed;

C. A description of where the material you claim is infringing is located on the Photo Site;

D. Your name, address, telephone number, e-mail address and all other information reasonably sufficient to permit RWS and DEI to contact you;

E. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; and

F. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

RWS and DEI are under no obligation to post, forward, transmit, distribute, retain on the Photo Site or otherwise provide any material available on this Photo Site, including material you provide to us, and so we have an absolute right to remove any material from the Photo Site at our sole discretion at any time.

8. Registration

You agree that the information you provide to DEI at registration and at all other times will be true, accurate, current and complete. You also agree that you will ensure that this information is reasonably kept accurate and up to date at all times. This is especially important with respect to your e-mail address since that is the primary way in which DEI will communicate with you about your account and your orders. Children under the age of 18 should review these Terms with their parent or legal guardian to ensure that the child and the parent or legal guardian understand it and are bound by it.

9. Password

When you register you will be asked to provide a password. You are responsible for all activities that occur under your username or password. Thus, you should keep your username and password confidential. You must notify DEI immediately of any unauthorized use of your password or if you believe your password is no longer confidential. DEI reserves the right to require you to alter your password if DEI believes your password is no longer secure.

10. Storage Policy and Photo Availability

Photos taken at Resorts World Sentosa and uploaded by DEI to the Photo Site shall be available on the Photo Site the morning following the day on which the photos were taken. The photos must be claimed within fourteen (14) days from the date they were taken. Photos not claimed within fourteen (14) days will no longer be available to be viewed or claimed.

Once photos are claimed and associated with a user account they will be available for viewing, sharing and downloading for thirty (30) days, after which the photos will be permanently deleted. RWS and DEI reserve the right to not upload content of any type that, at DEI’s and RWS’ sole discretion, might be deemed offensive. RWS and DEI are not responsible for lost or missing photos after they have been uploaded to the Photo Site..

11. Photo Downloads

Photo downloads will be made available through the Photo Site. Photo downloads include all images uploaded by DEI to the Photo Site that have been claimed by you (by using your Retrieval ID provided to you at the venue where the photographs were taken), which are accessible by signing in to your password-protected user account unless the images have already been deleted by you or have already expired at the time of the downloading. Custom content available through the Photo Site, including but not limited to, image borders and overlays, may be available as part of a download.

You may download images an unlimited number of times. You may also download individual images directly to your mobile device or computer.

12. Sharing and Social Network Posting of Photos through the Photo Site

You are responsible for naming the persons with whom to share your photos. To share your photos online you must provide a valid e-mail address for each recipient. Neither RWS nor DEI is responsible for undeliverable e-mail addresses. DEI reserves the right to filter the text content of the "Share Email" subject line and message. Recipients are not required to register prior to viewing your pictures.

Posting of photos to social networks may be available through the Photo Site. The ability to post photos, if available, will be identified on the Photo Site along with the applicable social network options.

13. Third Party Links

This Photo Site may, from time to time, be linked to other websites. These links are provided as a convenience to you and as an additional avenue of access to the information contained therein. We do not endorse the content, product, service or supplier and we accept no responsibility or liability for the content, use or availability of such websites. Your linking to or from any off-website pages or other websites is at your own risk. We are in no way responsible for examining or evaluating, and we do not warrant the offerings of off-website pages or any other websites linked to or from this Photo Site, nor do we assume any responsibility or liability for the actions, content, products, or services of such pages and websites, including, without limitation, their privacy policies and terms and conditions. You should carefully review the terms and conditions and privacy policies of all off-website pages and other websites that you visit. No third party is permitted to link any other website to this Photo Site without obtaining our prior written consent.

14. User Conduct

Without limiting the generality of any other provision of these Terms & Conditions, if you fail to comply with or breach or are in default of any of your obligations set forth in these Terms & Conditions you shall be liable for, and shall indemnify us, our directors, officers, employees and agents for any and all losses, liabilities, expenses, damages or costs, including reasonable attorneys' fees, arising from or in connection with such failure to comply, breach or default.

15. Indemnification

You agree to defend, indemnify and hold us, our directors, officers, employees and agents harmless for any and all losses, liabilities, expenses, damages or costs, including reasonable attorneys' fees, arising or resulting from any third party claim, action, or demand resulting from your use of this Photo Site or breach of these Terms & Conditions unless RWS and/or DEI elect(s) to take up such defense on its/their own. You also agree to indemnify RWS and/or DEI, RWS and/or DEI’s directors, officers, employees and agents for any losses, liabilities, expenses, damages, or costs, including reasonable attorneys' fees, arising or resulting from your use of software robots, spiders, crawlers, or similar data gathering and extraction tools, or any other action you take that imposes an unreasonable burden or load on our infrastructure. If you cause a technical disruption of this Photo Site or the systems transmitting this Photo Site to you or others, you agree to be responsible for any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs arising or resulting from that disruption. DEI and RWS reserve(s) the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case; you agree to cooperate with DEI and RWS in the defense of such matter.

16. Your Submissions

You are responsible for any material, suggestions and ideas, inquiries, feedback or other information you transmit, upload, post, submit, email or provide us via this Photo Site, including the legality, accuracy, reliability, appropriateness, originality and copyright of any such material. You may not upload, distribute or otherwise publish through this Photo Site any content that (i) is confidential, proprietary, false, fraudulent, libelous, defamatory, obscene, threatening, infringing on intellectual property rights, abusive, illegal or otherwise objectionable; (ii) may constitute or encourage a criminal offense, violate the rights of any party or otherwise give rise to liability or violate any law; or (iii) may contain software viruses, political campaigning, chain letters, mass mailings, or any form of "spam." You shall not use a false e-mail address or other identifying information, impersonate any person or entity or otherwise mislead as to the origin of any content. You shall not upload commercial content onto this Photo Site.

Subject to our Privacy Policy, all suggestions and ideas, any inquiries, feedback or other information you provide us (collectively, "Submission") will be treated as non-proprietary and non-confidential. Subject to the terms of our Privacy Policy and these Terms & Conditions, by transmitting or posting any Submission, you hereby grant us full ownership of the Submission as if we had created, developed and posted the Submission for our own purposes. We reserve the right to copy, use, reproduce, modify, adapt, translate, publish, license, distribute, sell or assign the Submission in any way as we see fit, including but not limited to copying in whole or in part, creating derivative works from, distributing and displaying any Submission in any form, media, or technology, whether now known or hereafter developed, alone or as part of other works, or using the Submission within or in connection with our products or services. Subject to the terms of our Privacy Policy and these Terms & Conditions, you also acknowledge that your Submission will not be returned and we may use your Submission, and any ideas, concepts or know how contained therein.

You acknowledge that we have the right (but not the obligation), at our sole discretion, to refuse the posting or removal of any content and we reserve the right to change, condense or delete any content. Without limiting the generality of the foregoing or any other provision of these Terms & Conditions, we have the right to remove any content that violates these Terms & Conditions or is otherwise objectionable and we reserve the right to refuse service without prior notice for any user who violates these Terms & Conditions or infringes the rights of others.

17. Termination of Membership

RWS and DEI reserve the right, at their sole discretion, to suspend or permanently discontinue all or any part of your use of the Photo Site and your membership if you violate any of these Terms or if your account has been inactive for more than one year.

18. Applicable Law and Jurisdiction

These Terms & Conditions shall be governed by the laws of Singapore. Any dispute relating in any way to your visit to this Site shall be submitted to the exclusive jurisdiction of the courts of Singapore.

We recognize that it is possible for you to obtain access to this Photo Site from any jurisdiction in the world, but we have no practical ability to prevent such access. This Photo Site is designed for use in Singapore and is not directed to, nor intended for distribution or use by, any person or entity in any jurisdiction or country where the publication or availability of this Photo Site or such distribution or use would be contrary to local law or regulation. If you choose to access this Photo Site it is your responsibility to comply with the applicable laws and any use of this Photo Site outside Singapore is entirely at your own risk. 19. Representations and Warranties

DEI and RWS make(s) no warranties or representations (express or implied) in connection with these Terms & Conditions or this Photo Site and to the fullest extent permitted by law, exclude(s) all warranties or representations (express or implied) or conditions of any kind whatsoever in connection with these Terms & Conditions or this Photo Site, including but not limited to its accuracy, any errors or omissions in the content on this Photo Site. To the fullest extent permitted by law, neither DEI nor RWS or any other party involved in creating, producing or delivering this Site is liable (whether in contract, tort or otherwise) for any direct, incidental, consequential, indirect or punitive damages arising out of your access to, or use of, or inability to use or access, this Photo Site.

We shall not be responsible or be liable (whether in contract, tort (including negligence) or otherwise), under any circumstances for any (a) interrupting of business, (b) delays or access interruptions in using or accessing this Photo Site, (c) non-delivery, mis-delivery, corruption, destruction or other modification to any information contained on this Photo Site, (d) loss or damages of any sort incurred as a result of dealings with or the presence of off-website links on this Photo Site, (e) computer viruses, system failures or malfunctions which may occur in connection with your use of this Photo Site, (f) inaccuracies or omissions in content, or (g) events beyond our reasonable control.

Further, to the fullest extent permitted by law, we will not be liable (whether in contract, tort or otherwise), for any indirect, special, punitive, incidental or consequential damages of any kind (including loss of profits) related to the use of or access to this Photo Site.

DEI and RWS reserve the right, at their sole discretion, to modify, change, enhance, alter, add, remove, suspend or permanently discontinue all or any part of this Photo Site, to restrict or prohibit access to it or to amend, revise or change these Terms & Conditions at any time by posting the changes on this Photo Site. Any amendment, revision and changes shall take effect upon posting to this Photo Site without prior notice to you. Your continued use of the Photo Site thereafter constitutes your agreement to all such amendment, revision and changes. It is your responsibility to check periodically for any changes we make to these Terms & Conditions. DEI and RWS may, with or without prior notice, terminate any of the rights granted by these Terms & Conditions. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Photo Site.

Nothing contained in these Terms & Conditions shall be construed as creating any agency, partnership or other form of joint enterprise between you, DEI and RWS. Our failure to require your performance of any provision hereof shall not affect our full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself.

In the event any part of these Terms & Conditions becomes unenforceable for any reason whatsoever the remaining Terms & Conditions shall continue to be binding.
